Terms of Executive Job Placement Services
In applying for the use of the executive job placement services provided by RECRUIT EXECUTIVE AGENT Inc. (“R-EX”), please make an application upon your acceptance of the following terms of services (“Terms”).
1.Definitions
Definitions of each expression used in the Terms will be as stipulated below.
(1) Executive Job Placement Services
The “Executive Job Placement Services” means a collective term of services such as a matching of the contents of the application received from the User with the agreement conditions desired by the Company Seeking Workers; providing job opening information forms and other information equivalent to those forms and their supplemental information; job placement counseling by telephone or interview; support for job placement activities by a consultant in charge; and agent services of application procedures.
(2) User
The “User” means a person who applied to R-EX for the use of the Executive Job Placement Services upon acceptance of the Terms.
(3) Company Seeking Workers
The “Company Seeking Workers” means a company that consigned to R-EX an introduction of human resources sought by itself in accordance with the Recruiting and Placement Services Agreement separately executed with R-EX.
(4) User Information
The “User Information” means all information on the User such as name, address, age, business background, and academic background provided by the User to R-EX.
2.Application method
From the perspective of office procedures, the application for using the Executive Job Placement Services will be made through an application through an inquiry on the Internet website (http://www.recruit-ex.co.jp/index.html), an application based on an introduction by R-EX’s business partner or the User, or an application in a method designated by R-EX in a brochure, advertisement or other matters; and an application by other methods will not be accepted.
3.Provision of services
R-EX will match the contents of the application received from the User with the agreement conditions desired by the Company Seeking Workers for all Users, and notify those Users the result of the matching. If there is any matter to introduce, R-EX will provide information of that matter by job opening information forms or in other manners equivalent to those forms, and in addition to this, R-EX will provide appropriate services to that User out of the following services, at R-EX’s discretion:
- (1)
- Conducting of job placement counseling by telephone or interview;
- (2)
- Support for job placement activities by a consultant in charge;
- (3)
- Providing of information supplemental to job opening information forms and other information equivalent to those forms;
- (4)
- Engaging in agent services of application procedures; and
- (5)
- All other services that R-EX determines beneficial to any career change of the User.
4.Period of providing the Executive Job Placement Services
The Executive Job Placement Services will be provided by R-EX to each User for one year from the date of notifying each User of the commencement of the Executive Job Placement Services, and if there is no indication of intent by the User that the User does not desire the continuation by the termination date of providing the Executive Job Placement Services, or if R-EX fails to terminate a whole or a part of the Executive Job Placement Services in accordance with Paragraph 5 or Paragraph 6, the Executive Job Placement Services will continue for another one year from the termination date of providing the Executive Job Placement Services, and the same will apply thereafter. If the User informs R-EX that it does not desire any continuation of the Executive Job Placement Services during the period of providing the Executive Job Placement Services, the Executive Job Placement Services will be promptly terminated to a reasonable extent.
5.Change, suspension and termination of the Executive Job Placement Services
R-EX will change or temporarily suspend a whole or a part of the Executive Job Placement Services without any notification to the User for unavoidable reasons under the business operations. In addition, R-EX will terminate a whole or a part of the Executive Job Placement Services upon notification within a certain period.
6.Reasons for terminating a provision of the Executive Job Placement Services
If any of the following events occur to the User, R-EX may terminate the provision of the Executive Job Placement Services without requiring any advisory notification to that User.
- a.
- The User violates each terms and conditions stipulated in the Terms;
- b.
- here is no contact from that User even after one month passes from the date of notifying a commencement of the Executive Job Placement Services; and
- c.
- R-EX otherwise determines that a relationship of mutual trust may not be maintained between the User and R-EX.
7.Handling of personal information
R-EX will appropriately collect, use, provide and manage the User’s personal information in accordance with the “Handling of Personal Information” (http://www.recruit-ex.co.jp/index.html) separately stipulated.
8.Accuracy of the User information
Where a whole or a part of the User information provided by the User to R-EX is not accurate, and where any objection, request, demand or other matter is made by the Company Seeking Workers or other third party for reasons attributable to any deficiency, variance or the like of the contents, the User will deal with that request and other matters at its own expense and responsibility, and will guarantee that the User will cause no inconvenience to R-EX.
9.Matching
R-EX will match the contents of the application received from the User with the agreement conditions desired by the Company Seeking Workers, but R-EX may not inform the User of the standards used for consideration, the reason for the decision, and other matters. In addition, even where R-EX accepts from the User any request for an application for the Company Seeking Workers, R-EX might determine that User’s degree of being matched to those agreement conditions on behalf of the Company Seeking Workers based on the request from the Company Seeking Workers.
10.Agreement conditions
R-EX will confirm the outline of the agreement conditions such as the job description and working conditions where the User executes the Employment Agreement, the Engagement Agreement, the Quasi-Engagement Agreement, the Contract Agreement or the equivalent agreement with the Company Seeking Workers, and commence the operations, and the User will execute the Employment Agreement, the Engagement Agreement, the Quasi-Engagement Agreement, the Contract Agreement or the equivalent agreement with the Company Seeking Workers at its own discretion after directly confirming the agreement conditions with the Company Seeking Workers, and accepts that the agreement conditions confirmed and notified by R-EX to the User will not finally guarantee a whole or a detail of the contents of those agreements.
11.Password management
If R-EX issues a password in connection with the Executive Job Placement Services, the User will use and manage that password at its responsibility, and must not have any third party use or transfer that password to any other third party under any circumstances.
12.Prohibited matters
The User must not commit the following acts:
- a.
- Providing R-EX with false or inaccurate information of the User;
- b.
- Obstructing the operations and business of R-EX or the Company Seeking Workers, or act of damaging social credit or assessment;
- c.
- Defaming, slandering or insulting another User, the Company Seeking Workers, an employee of R-EX or the Company Seeking Work-ers, or any other person concerned related to R-EX’s business (“Person Concerned”);
- d.
- Infringing all property rights including copyrights, trademark rights and other intellectual property rights held by R-EX or the Person Concerned, trade secret, fame, privacy and other matters;
- e.
- Using information obtained through the Executive Job Placement Services beyond the scope of the purpose of the Executive Job Placement Services, or leaking or disclosing that information to a third party;
- f.
- Violating laws and regulations, or public order and morality;
- g.
- Engaging in an act that is likely to fall under any of the above Items; and
- h.
- Engaging in other acts that R-EX determines at its own discretion are inappropriate.
13.Information processing
R-EX may process a whole or a part of the User information into information of which the individual User may not be specified, and use that information in various media and other matters edited and issued by R-EX. In this circumstance, copyrights and any other property rights related to that information used in various media and other matters will belong to R-EX.
14.Indemnification
R-EX will not assume any responsibility for any damage incurred by the User in using the Executive Job Placement Services (any disadvantage including psychological damage, property damage, direct damage and indirect damage), except where damage is caused by R-EX’s willful act or gross negligence..
15.Force majeure
If any provision of the Executive Job Placement Services is delayed, or is difficult or impossible because of a network failure, virus damage that is unpreventable by antivirus measures that should be normally taken, or other reasons not attributable to R-EX, R-EX will not assume any responsibility for any damage incurred by the User in using the Executive Job Placement Services (any disadvantage including psychological damage, property damage, direct damage and indirect damage).
16.Liability for damage
If the User violates any terms and conditions of the Terms and causes any damage to R-EX, the Person Concerned, or a third party, the User will indemnify for all damage.
17.Change of the Terms
R-EX may change the content of the Terms as necessary.
R-EX will post the content of the Terms after those are changed on the Internet website of R-EX (http://www.recruit-ex.co.jp/index.html), and when one month passes after that posting, the content of the Terms after the change will become effective.
18.Matters not stipulated
The User and R-EX will consult and settle in good faith on matters not stipulated in the Terms, in accordance with laws and regulations of Japan.
19.Jurisdiction
Any dispute arising in connection with any matter of the Terms will be settled under the exclusive jurisdiction of the Tokyo District Court or the Tokyo Summary Court in the first instance.
